These Terms of Service (“Terms”) govern your use of madbrain.dev and any work Mad Brain (“we,” “us,” or “our”) delivers. Read them carefully.
Acceptance
By using this site or engaging us for a project, you agree to these Terms. If you do not agree, please do not use the site or our services.
Services
Mad Brain is a custom software development studio. We build custom databases, dashboards, SaaS products, integrations, and related software. The exact scope of any engagement is defined in a written proposal or statement of work agreed with you.
Project terms
Scope
Each project has a defined scope agreed in writing before work starts. Changes to scope are handled through a written change request and may affect timeline and cost.
Payment
Fees, milestones, and payment schedule are set out in your proposal. Invoices are due within the terms stated on each invoice. Work may pause on overdue accounts.
Intellectual property
On full payment, ownership of the custom code we write for your project transfers to you. We retain the right to reuse general know-how, techniques, and non-client-specific components. Third-party and open-source libraries remain under their own licenses.
Your responsibilities
You agree to provide accurate information, timely feedback, and any access or content we need to do the work. Delays on your side may affect the delivery timeline.
Limitation of liability
We deliver work with reasonable skill and care. To the extent allowed by law, our total liability for any claim is limited to the fees you paid for the specific engagement giving rise to the claim. We are not liable for indirect or consequential losses.
Termination
Either party may end an engagement with written notice as set out in the proposal. On termination, you pay for work completed up to that point, and we hand over deliverables produced and paid for.
Governing law
These Terms are governed by the laws of Bangladesh. Any dispute will be handled in the courts of Bangladesh, unless your proposal states otherwise.
Changes to these terms
We may update these Terms over time. When we do, we will revise the “Last updated” date at the top of this page.
